Stock Repurchase Agreement & Board Resolution

When a co-founder, advisor, or shareholder exits before their equity has fully vested, a Stock Repurchase Agreement gives the company the contractual right to buy back those unvested shares at the original purchase price, protecting your cap table and keeping equity in the hands of people actively building the business. A Board Resolution formally authorizes the repurchase under your governing documents, satisfying your corporate governance requirements and giving the transaction legal effect.
